I need to build model from shape file and Manhole file contains only ground level and conduit comprises on invert level - so what option i can use to build the model so conduit can pick invert level start and stop from shape file.

Depending on the format of the data, you may be after to use ModelBuilder to apply the conduit invert elevations to a node, such as a manhole. The following link has information on doing that: How to apply conduit start/stop elevations (eg. ground & invert) to adjacent nodes.
