Todd's answer didn't work for me, and I believe the problem had to do with updating to SS4 yesterday. I restored to factory defaults per above and now the dialog works as expected.

Another option you have is look under the Workspace pulldown, see where your user preference file is located. In that same folder there is a matching (.docking.xml) file. You can either delete this file or rename it to (.old). You will want to exit and restart MS see now if your reference manager is back? Example (untitled.upf and untitled.docking.xml), rename to (untitled.docking.old). MicroStation needs to have a upf and docking xml file, so it will automatically create new ones when these are missing.

May be the References dialog is docked to the side somewhere not obvious. If you select menu it Window does ' References appear in the list ? ( You may also need to select ' More Windows' ) if so what happens when you select it from the list.

If not listed in the above Windows list, does the keyin ' Dialog Reference open ' open the dialog ?
