I got the same error.

My workaround was to directly open the shp file (with MicroStation or OpenRoads), change the cotdinatesystem to be the one I use in my Project and then I saved it as dgn.

Yeah, I get the same message. All required support files for the .shp file exist in the same directory.

Funny enough, i get this trying to reference in a Shape file created in ORDs Asset Manager (but works fine in ArcGIS)
