CEU13 - Extrude element from a reference
If we try to create a Solid with Extrude from a closed element from a reference with Keep Original turn on, we get No elements selected in Message Center.
It's exacly the same situation for surfaces.
This doesn't happen in SS3.

I believe the problems you are experiencing are related to the two surfaces having the same planar faces in the area shown below.
If you remove these facets then the two surfaces will stitch and form a solid.
